The company DXS boutique TCG en ligne, registered in the trade and companies register of Amiens under number 944773050 and whose head office is located at 4 rue de lavarenne 80600 Outrebois (hereinafter, the “Company”) is active in the purchase and sale of toys on the internet.

Object

These General Conditions of Use (hereinafter "GCU") are intended to determine the terms under which the company sells its products or provides its services on its website (hereinafter, the "Customer").

The products or Services sold by the Company are those described on its website: www.dxsboutique.com (hereinafter, the "Site") or any other relevant support made available to the customer by the Company on the date the customer places their order.

The Company reserves the right to modify or adapt these T&Cs at any time. The applicable version of the T&Cs is the one provided to the customer by the Company at the time of purchase of the Products or Services. Modifications to these T&Cs are binding on the customer from the time they are posted online and cannot apply to transactions concluded previously.

The customer declares to have read the T&Cs and to have accepted them without reservation before placing the order.

Pre-contractual Obligations

In accordance with article L.111-1 of the Consumer Code, the Company communicates to the consumer, in a legible and comprehensible manner, the essential characteristics of the Products or Services, which are: TCG Products Playing and Collectible Cards.

Access to the Site

The Site is accessible 24 hours a day, 7 days a week, except in the event of voluntary or involuntary interruption by the Company, its service providers or the internet network, as well as in the event of force majeure.

The Company cannot be held liable in the event of unavailability of the Site for any reason whatsoever, which the customer accepts.

The Company makes every effort to secure the Site and keep it regularly updated, without however guaranteeing the Client that the site will be fully secure.

Thus, the Company may suspend or terminate the operation of the Site at any time if it wishes.

Price

The products or Services are sold at the prices in effect when the order is placed.

These are expressed in EUROS and EXCLUDING TAXES.

The Company reserves the right to modify its prices at any time.

Order and Payment Terms

The order is made:

- Directly on the Site

Payment for Services or Products is made at the time of ordering by:

- Bank card

- Gift Card

Billing

Each order is subject to an invoice sent by email or postal letter by the Company to the Customer.

Each invoice must be paid within:

- 30 days from the date of issue of the invoice

Late Payment

In the event of late payment of all or part of the amount indicated on the invoice sent by the Company, the professional client is liable to a late payment penalty of an amount equal to 1.5 times the legal interest rate in force at the time of delivery of the Products or Services.

This penalty runs from the due date of the price without any prior formal notice being necessary.

In addition to this late payment penalty, there is a fixed compensation of 40 euros for recovery costs, in application of articles L.441-10 and D.441-5 of the Commercial Code.

The consumer customer is not subject to the payment of such late payment penalties.

The Company remains the owner of the products sold until full payment of the price and the Customer undertakes, until ownership is transferred to it, to take all necessary precautions for the proper conservation of the Products.

Delivery

Delivery of the Products is carried out by:

- At the place indicated when ordering

The Company undertakes to deliver the Product or Service within 5-7 days of subscription.

Termination Clause / Termination

The sale may be automatically terminated and give rise to damages for the benefit of the Company if the buyer does not pay all sums due within 30 days of sending a formal notice to pay.

Right of Withdrawal

The customer having the status of consumer, as defined by law and case law, has a right of withdrawal for any purchase made on the internet.

The right of withdrawal may be exercised within 14 days following the date of receipt of the Product or execution of the Service.

The customer who exercises his right of withdrawal from a service contract whose execution he has expressly requested before the end of the withdrawal period is liable to pay fees corresponding to the service provided until receipt of his decision to withdraw.

The period for the right of withdrawal expires on the last day at midnight and in the event that this period expires on a Saturday, a Sunday or a public holiday or non-working day, it will be extended until the next working day.

To exercise his right of withdrawal, the customer notifies the Company of his decision to withdraw by email or by letter sent by post to the Company's address.

To do this, the Customer is invited to complete and return the withdrawal form provided in Appendix 1 of these T&Cs.

 

Responsibility

The Customer is solely responsible for his use of the Products or Services.

Guarantees

All products benefit from the legal guarantee of conformity provided for in Articles L217-4 et seq. of the Civil Code. These guarantees allow the customer to return defective or non-compliant Products delivered to the Company.

1. Legal guarantee of conformity

- Article L.217-4 of the Consumer Code:

The property complies with the contract if it meets, in particular, where applicable, the following criteria :

1. It corresponds to the description, type, quantity and quality, in particular with regard to functionality, compatibility, interoperability, or any other characteristic provided for in the contract.

2. It is suitable for any special use sought by the consumer, brought to the attention of the seller at the latest at the time of conclusion of the contract and which the latter has accepted.

3. It is delivered with all accessories and installation instructions, to be provided in accordance with the contract.

4. It is updated in accordance with the contract.

- Article L.217-4 of the Consumer Code:

En plus des critères de conformité au contrat, le bien est conforme d'il répond aux critères suivants :

1. Il est propre à l'usage  habituellement attendu d'un bien de même type, compte tenu, s'il y a lieu, de toute disposition du droit de l'Union Européen et du droit national ainsi que de toutes les normes techniques ou, en l'absence de telles normes techniques, des codes de conduite spécifiques applicables au secteur concerné : 

2. Le cas échéant, il possède les qualités que le vendeur a présentées au consommateur sous forme d'échantillon ou de modèle; avant la conclusion du contrat :

3. Le cas échéant, les éléments numériques qu'il comporte sont fournis selon la version la plus récente qui est disponible au moment de la conclusion du contrat, sauf si les parties en conviennent autrement.

4. Le cas échéant, il est délivrer avec tous les accessoires, y compris l'emballage et les instructions d'installation que le consommateur peut légitimement attendre :

5. Le cas échéant, il est fourni avec les mises à jour que le consommateur peut légitimement attendre, conformément aux dispositions de l'article L. 217-19 ; 

6. Il correspond à la quantité à la qualité et aux caractéristiques y compris en termes de durabilité, de fonctionnalité, de comptabilité et de sécurité, que le consommateur peut légitimement attendre pour des biens de même type, eu égard à la nature du bien ainsi qu'aux déclaration publiques faites par le vendeur, par toute personne en amont dans la chaîne de transactions, ou par une personne agissant pour leur compte, y compris dans la publicité ou sur l'étiquetage.

 

II- Toutefois, le vendeur n'est pas tenu par toutes déclarations publiques mentionnées à l'alinéa qui procèdes s'il démontre : 

1. Qu'il ne les connaissait pas et n'était légitimement pas en mesure de les connaître ; 

2. Qu'au moment de conclusion du contrat, les déclarations publiques avaient été rectifiées dans des conditions comparables aux déclarations initiales ; ou

3. Que les déclarations publiques n'ont pas pu avoir d'influence sur la décision d'achat. 

III- Le consommateur ne peut contester la conformité en invoquant un défaut concernant une ou plusieurs caractéristiques particulières du bien, dont il a été spécifiquement informé qu'elles s'écartaient des critères de conformité énoncés au présent article, écart auquel il a expressément et séparément consenti lors de la conclusion du contrat. 

2. Garantie légale contre les vices cachés

- Article 1641 of the Civil Code:

"The seller is bound by the guarantee for hidden defects in the thing sold which make it unfit for the use for which it is intended, or which reduce this use so much that the buyer would not have acquired it, or would have paid a lower price for it, if he had known of them."

- Article 1648 al 1 of the civil code:

« L'action résultant des vices rédhibitoires doit être intentée par l'acquéreur dans un délai de deux ans à compter de la découverte du vice. »

3. Mise en oeuvre 

En cas de livraison d'un Produit non-conforme à la commande ou révélant un vice caché , le Client devra retourner le produit à l'entreprise par voie postale à l'adresse : 

DXS , 4 rue de Lavarenne 80600 Outrebois.

Le client contacte le service client de l'Entreprise , par mail à l'adresse : dxs.shopanddream@gmail.com ou par téléphone au 0744430211.

​Toute réclamation devra être formulée dans un délai de 30 jours ouvrés à compter de la date du paiement afin de formuler toute réclamation relative à son retour.

Le Client pourra demander à l'Entreprise :

              -             L'échange avec un produit identique ou de qualité et de prix équivalent dans                                la limite des stocks,

                            ou

              -             Le remboursement du prix du Produit et des éventuels frais de livraison                                        initiaux et de retour.

Modification of the Contract

Any modification, termination or abandonment of any of the clauses of these T&Cs will only be valid after written agreement signed between the company and the customer.

Personal Data

The company will be required to collect personal data in order to provide the products or services ordered by the customer.

In accordance with the Data Protection Act of 6 January 1978 and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (known as GDPR), the customer has the right to access, rectify and oppose personal data concerning him/her.

All you have to do is write by email to the following address: dxs.shopanddream@gmail.com, indicating your surname, first name, email address and postal address and specifying the subject of your request.

The personal data requested from the Customer are particularly necessary for processing the order and issuing invoices.

This data may be communicated to the seller's potential partners responsible for the execution, processing, management and payment of orders.

The Customer has the right to file a complaint against the company with the CNIL.

We retain your personal data for as long as necessary to provide the Service or Product and perform the obligations you have requested from us, or for other essential purposes such as compliance with our legal obligations.

In addition, the Company undertakes to comply with the rules in force, in particular the GDPR regulation, in the processing of the Client's personal data.

Force Majeure

The Company cannot be held liable for the non-performance of its contractual obligations under the conditions provided for in these General Terms and Conditions in the event of the occurrence of a fortuitous event or a case of force majeure as defined by Article 1218 of the Civil Code. In addition to the fortuitous events defined by the case law of the French courts, any situation where the performance of contractual obligations is delayed or prevented, including but not limited to social conflicts, interventions by authorities, natural disasters, epidemics, fires, water damage, interruption of the electricity or telecommunications network, administrative decisions, are considered as fortuitous events or cases of force majeure beyond the control of the Company and its liability cannot be incurred.

Intellectual Property

All elements appearing on the Site, or any other document or support transmitted or accessible to the Client, such as, but not limited to, any logo, formatting, images, texts, logos, databases, programs, etc., are protected by intellectual property rights and are the full and entire property of the Company.

The sale of Products or Services to the Customer does not in any way entail the transfer of these intellectual property rights. The Company therefore remains the sole owner of these intellectual property rights.

The Client may not under any circumstances use elements protected by intellectual property rights belonging to the Company without the prior, express and written consent of the latter.

Applicable Law and Competent Jurisdiction

These T&Cs are governed by French law.

All disputes to which the purchase and sale transactions concluded in application of these general conditions of sale could give rise, concerning their validity, their interpretation, their execution, their termination, their consequences and their follow-ups and which could not have been resolved amicably between the Company and the Client, will be submitted to the courts of the jurisdiction of the city of the place of the principal establishment of the Company under the conditions of common law.
